FNBC herein after referred to as "Broker".
Upon our receipt of this acceptance, we will, by return E-mail, rush to you the confidential information you requested. I have read the following terms and agree to them in full. My request for this Confidential Information shall be considered to be acceptance by me of said agreement.
The Buyer/Seller agrees (1) to hold all disclosed confidential or proprietary information or trade secrets (“information”) in confidence and will not divulge information to others except to secure advice and counsel and (2) to conduct all further inquiries into the disclosed listings exclusively through the offices of First National Business Corporation which I/We hereby acknowledge to be the agency providing the information to me/us, and (3) Buyer agrees that if it enters into a contract to buy or lease any business, or any portion thereof, confidential or proprietary information of or from which was provided to Buyer by Broker pursuant to this Agreement, then Buyer will be liable to Broker for Broker’s fees jointly and severally with the Seller of such business, or portion thereof, if the contract to buy or lease is entered into within the term of Seller’s “Listing Agreement” with Broker and within one (1) year following the end of said term; and (4) This agreement applies to any and all information received now or in the future, whether transmitted electronically or by other means, and pertaining to information on any business. Receipt of Confidential Information Agreement is hereby acknowledged. Any and all information and data about the business, including financial records, asset lists, literature, analysis of operations and other facts are the representation of the Seller. Broker disclaims any responsibility for its accuracy.
The Buyer/Seller specifically understands that First National Business Corporation and its Associate represent the Seller and does not represent the Buyer
